YiwuPro Terms of Service

1. Who we are

YiwuPro ("the App", "the Service", "we", "us") is operated by YIWU PENGXIN TRADING COMPANY, an entity incorporated in Hong Kong (the "Operator"). These Terms of Service ("Terms") govern the use of the YiwuPro mobile application (iOS/Android) and its associated web interface, available at yiwupro.app.

By creating an account or using YiwuPro, you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

YiwuPro is a SaaS productivity tool for buyers and sourcing agents operating in the Yiwu market (and similar markets/trade fairs). It allows you to:

• Capture products via photo, voice, and AI-assisted recognition.
• Organize suppliers, product catalogs, and clients.
• Generate quotations, orders, contracts, and shipping documents (Commercial Invoice, Packing List).
• Use calculation tools (currency, landed cost, container loading) and reference tools (market map, tips).

YiwuPro is a private tool for the buyer. It is not a marketplace or a public directory: suppliers do not have accounts or access to the App, and the information a user captures is never published or shared with other users.

3. Accounts and organizations

• To use YiwuPro you must create an account with truthful information (email or phone, depending on the registration method available).
• Each account belongs to an organization. When you register for the first time, an organization is automatically created and you become its owner/administrator ("owner").
• The owner of an organization controls the organization's settings, invites or removes members (Business plan), assigns roles (buyer/seller), and is responsible for actions taken under their organization.
• You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
• You must be at least 18 years old to create an account (see also the Privacy Policy's section on minors).

4. Plans and limits

YiwuPro is offered under a freemium model with the following plans: Free, Pro, and Business. Current limits are shown inside the App and may vary; as of this version they are, for reference:

Subscription prices are those published within the App, on the app stores (App Store/Google Play), or on the website at the time of purchase, and may change with reasonable prior notice. Prices in currencies other than USD are for reference only.

Free trial: when you register for the first time, you receive a 14-day trial period with Pro plan features. When the trial ends, if you have not subscribed to a paid plan, your account automatically moves to the Free plan and becomes subject to its limits (content exceeding Free plan limits is not deleted, but may become read-only or require an active paid plan to create new resources).

Paid subscriptions are managed through RevenueCat (App Store/Google Play) or Stripe (web), depending on the purchase channel. The billing, auto-renewal, and cancellation terms of those platforms apply in addition to these Terms.

5. AI credits

• Certain features (product photo recognition, card and label OCR, voice transcription and editing) use third-party AI models accessed through a gateway we operate. Using these features consumes "AI credits" according to your plan.
• AI-generated results may contain errors (misread names, prices, measurements, translations, or other data). It is the user's responsibility to review and verify information before using it in commercial documents (quotations, contracts, orders, CI/PL) or making business decisions based on it. YiwuPro does not guarantee the accuracy of AI-generated data.
• We may change the AI model used, its providers, or usage limits at any time, even without prior notice, for reasons of cost, availability, or service quality.

6. User content

"User Content" includes, without limitation: product and supplier photos, voice notes, supplier data (name, contact, location, WeChat QR), client data, prices, quotations, orders, contracts, and any other information you capture or generate in the App.

• User Content belongs to you. We do not claim ownership over it.
• You grant us a limited, non-exclusive, revocable license to store, process, transmit, and display your User Content solely for the purpose of operating, maintaining, and improving the Service for you (including sending photos/audio to AI providers for processing, see Privacy Policy).
• You are responsible for having the necessary rights to the content you upload (for example, photos you take at the market) and for ensuring it does not infringe third-party rights.
• See the "Core promise" section of the Privacy Policy regarding the confidentiality of your supplier and client database.

7. Prohibited uses

By using YiwuPro, you agree not to:

• Extract data from the App in an automated manner (scraping, mining, bots) outside of the provided export features.
• Resell, sublicense, or redistribute the Service or access to it without authorization.
• Abuse the AI features (abnormal volume, attempts to manipulate or extract the underlying models, use for purposes other than capturing and managing your own business's products/suppliers).
• Upload or generate content that is illegal, defamatory, fraudulent, infringes third-party intellectual property rights, or violates applicable law (including trade sanctions or export regulations).
• Attempt to breach the Service's security, access data from other organizations, or reverse-engineer the App except as permitted by law.
• Use the Service to build directories, databases, or competing products from supplier information captured by other users (note: this is not technically possible in the App's current design, since each organization only sees its own data, but any such attempt is expressly prohibited).

We may suspend or terminate accounts that violate these rules, with or without prior notice depending on the severity of the case.

8. Data export and cancellation

• You can export your entire catalog (suppliers, products, photos, and other applicable data) in Excel/ZIP format at any time, directly from the App ("export all my data").
• You can cancel your account at any time from Settings or by writing to soporte@yiwupro.app.
• When you cancel your account, your data is deleted as described in the Privacy Policy (retention of up to 30 days after cancellation for error-recovery or legal-requirement purposes, followed by permanent deletion).
• If you cancel a paid subscription, you will retain access to paid features until the end of the already-billed period; no partial refunds are issued unless applicable law or the policy of the relevant store (App Store/Google Play/Stripe) requires otherwise.

9. Service availability and limitation of liability

• We strive to keep YiwuPro available, but we do not guarantee an uninterrupted, error-free service, or one free of data loss. There may be maintenance, interruptions, or failures by external infrastructure, AI, or app-store providers outside our reasonable control.
• YiwuPro is a tool for organizing and presenting commercial information (products, prices, quotations, contracts). We are not a party to transactions between the user and their suppliers or clients: we do not guarantee the quality of merchandise, compliance with delivery timelines, payments, or the legal validity of generated documents (contracts, CI/PL, etc.) in the destination jurisdiction. All negotiation, payment, and commercial transactions with suppliers or clients are the user's sole responsibility.
• To the maximum extent permitted by applicable law, the Operator will not be liable for indirect, incidental, special, or consequential damages (including lost profits, data, or business opportunities) arising from use or inability to use the Service. The Operator's total liability to a user, for any cause related to the Service, will not exceed the amount paid by that user to the Operator in the 12 months prior to the event giving rise to the claim.
• The Service is provided "as is" and "as available", without warranties of any kind, express or implied, except those that applicable law does not permit excluding.

10. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, or our practices. We will publish the updated version in the App and/or at yiwupro.app with its effective date. Continued use of the Service after an update constitutes acceptance of the new Terms. For material changes, we will make reasonable efforts to notify you by email or within the App in advance.

11. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without prejudice to consumer-protection rules of the user's jurisdiction of residence that cannot, by law, be excluded. Any dispute that cannot be resolved amicably will be submitted to the competent courts of Hong Kong, unless applicable law requires otherwise.
